End User License Agreement

This End User License Agreement ("EULA") is between you ("End User") and SquareKeeper LLC ("SquareKeeper"), governing your use of the SquareKeeper software (the "Software"), including its web, mobile, and portal components. By accessing or using the Software, you agree to be bound by this EULA.

1. Grant of License

Subject to your compliance with this EULA and the Terms of Service, SquareKeeper grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business operations at the property(ies) licensed under your SquareKeeper subscription.

2. Scope by User Role

Your license scope is determined by your role within the organization:

  • Staff Users (owners, property managers, and operational staff): licensed to access Modules the organization subscribes to, subject to per-member permissions.
  • Portal Users (Tenants and Vendors): licensed to access only the data scoped to the individual user (own vehicles, own work-order requests, own invoices, etc.). No cross-tenant or cross-vendor visibility.

3. Restrictions

You will not:

  • Reverse-engineer, decompile, or attempt to extract source code from the Software
  • Resell, sublicense, or provide the Software as a service to third parties outside your organization
  • Circumvent authentication, authorization, or license-enforcement mechanisms
  • Use the Software to store or transmit unlawful, infringing, or abusive content
  • Use automated agents to scrape, crawl, or exfiltrate data beyond the scope of your subscription

4. Updates

SquareKeeper may update the Software at any time. Updates may add, modify, or remove features. Where an update would materially reduce functionality, SquareKeeper will provide reasonable notice.

5. Third-Party Components

The Software may include open-source components governed by their own licenses. A list of open-source components and their licenses is available on request.

6. Data Ownership

You retain ownership of data you submit to the Software ("Customer Data"). SquareKeeper's rights to process Customer Data are limited to providing the Service per the Terms of Service and Privacy Policy.

7. Termination

This license terminates automatically on termination of your SquareKeeper subscription or on breach of this EULA. On termination, you will cease use of the Software. Data-export rights per the Terms of Service remain in effect during the retention window.

8. Disclaimer of Warranties

The Software is provided "as is" without warranty of any kind, express or implied, except as required by applicable law.

9. Limitation of Liability

To the maximum extent permitted by law, SquareKeeper's liability under this EULA is limited as set forth in the Terms of Service.

10. Governing Law

This EULA is governed by the laws of the State of California, without regard to conflict-of-law principles. Venue: Los Angeles County, California.
