These Referral Partner Terms (the "Partner Terms") are an agreement between you and SquareKeeper LLC ("SquareKeeper", "we", "us") about sharing a SquareKeeper referral code. A referral partner is a creator, or anyone else, to whom we give a code to share with their audience. You accept these Partner Terms in your partner dashboard at partner.squarekeeper.com; sharing a code we gave you also means you accept them. If you don't agree, don't share the code, and tell us so we can turn it off.
1. How the program works
- We give you one or more referral codes (for example ARMANDO) and links that carry them, such as squarekeeper.com/r/ARMANDO and, in Spanish, squarekeeper.com/es/r/ARMANDO. Codes are for SquareKeeper Works, which is available to businesses in the United States.
- A business that signs up for SquareKeeper Works with your code gets the offer we set for your code at the time it signs up. Today that is 30 extra days on top of the 30-day free trial. We may change the offer for future sign-ups (section 10).
- You earn what your deal says (sections 2 and 3). Your dashboard shows your sign-ups, what counts, what you have earned, what we have paid you and your balance.
2. Your deal
- Your deal is what we agree with you in writing; an email from us counts. A deal can be a flat amount (for example, for one video), an amount for each sign-up that counts, or an amount for each sign-up that becomes a paying subscription. Each deal has a start date and can have an end date and a cap.
- Your dashboard shows each deal and what counts toward it. If the dashboard and our written agreement ever differ, the written agreement controls, and we will correct the dashboard.
- Neither of us can change an agreed deal without the other's written OK, except that either of us can end your participation under section 11.
3. What counts
A sign-up counts toward a deal only when all of these are true:
- The business signed up with your code: typed on the sign-up form, carried by your link or by the Google Play link in your share kit, or added in the app or on the web within 14 days after sign-up.
- It happened inside the deal's dates.
- It reached the step the deal pays for. "Confirmed" means the person confirmed their email address and signed in for the first time. "Paid" means the business paid its first invoice for a paid plan.
- It is a new business: not one already using SquareKeeper, not a second account for the same business, and not a business you own, run or work for. Your own sign-up never counts.
- It was not made or arranged by you to earn money rather than to use SquareKeeper: for example by paying or rewarding people to sign up, by fake or automated sign-ups, or by signing up with false details.
Each sign-up counts for one code at most: the code on the account. If a visitor uses someone else's link or code before signing up, that code gets the credit. Your link remembers your code in the visitor's browser for 30 days (our Privacy Policy describes the cookie); after that, or on another device, the visitor has to enter the code.
If a payment that counted is refunded, reversed or charged back, it stops counting, and if we already paid you for it, we may subtract that amount from what we owe you later.
We may hold a sign-up "under review" while we check it against our abuse checks. A held sign-up does not count until we clear it. We decide holds in good faith, and when you ask, we tell you the reason unless that would help someone get around our checks.
4. How and when we pay you
- We pay in US dollars, by the method we agree with you (for example Zelle or PayPal), and record each payment in your dashboard.
- We pay your balance within 30 days after the end of each calendar month in which it reaches at least $25. A smaller balance carries over to the next month. When your participation ends, we pay any balance, whatever the amount, within 30 days, except as section 11 says.
- Before your first payment, you give us a completed IRS Form W-9 (in the United States) or Form W-8BEN (outside it) and the payment details we need. We cannot pay you until we have them.
- You are responsible for your own taxes. Where the law requires, we report what we pay you to the tax authorities (in the United States, for example on Form 1099-NEC) and withhold any tax the law requires us to withhold.
- If you think a count or a payment is wrong, tell us within 60 days after the date it shows in your dashboard. We will look into it and answer you in writing. After 60 days, the figures for that date are final.
- If we pay you more than you earned, we may subtract the difference from later payments, or ask you to pay it back if there are none.
5. How you share SquareKeeper
- Say that you are paid. Whenever you share your code or talk about SquareKeeper where your code appears, say clearly that SquareKeeper pays you or gives you something for it. Put it in the video or post itself (said out loud in a video, and on screen), not only in a description or behind a link, and in the same language as your content. For example: "SquareKeeper pays me when you sign up with my code." Use the platform's paid partnership label where it has one. United States law requires this (the Federal Trade Commission's Endorsement Guides), and so do these Partner Terms.
- Be honest. Share only your own real experience and opinions. Describe SquareKeeper, its prices, its trial and the offer for your code only as our website and your share kit do. Don't promise results, savings or features SquareKeeper doesn't have, and don't say an offer is ending or limited unless we told you so.
- Don't speak for us. Don't say or suggest that you are SquareKeeper, that you work for us, or that you can make promises, give refunds or give support for us. Send customers' questions to hello@squarekeeper.com.
- No spam. Don't send your code in unsolicited email, text messages, direct messages or calls, and follow the anti-spam and telemarketing laws where you and your audience are (in the United States, CAN-SPAM and the Telephone Consumer Protection Act).
- Don't use our name to buy traffic. Don't bid on "SquareKeeper", our product names or their misspellings in search ads; don't use them in a domain name, an app name, a social account name or an ad account name; and don't run paid ads to your link without our written OK.
- No coupon sites or forced credit. Don't post your code on coupon, deal or cash-back sites, and don't use tricks that give you credit for people you didn't really refer (for example, placing your link or cookie on people who never clicked it).
- Follow the rules. Follow each platform's rules and the laws that apply to you. Don't share your code in content that is illegal, hateful, harassing, sexually explicit or violent, that infringes anyone's rights, or that is directed to children under 13.
- If we ask you to change or remove something that breaks this section, do it within 3 days, or sooner if the law requires.
6. Our name and materials
We give you a limited, non-exclusive, non-transferable permission, which we can withdraw at any time, to use the SquareKeeper and SquareKeeper Works names, our logo and app icon, our screenshots and the Google Play and App Store badges in your share kit, only to share your code under these Partner Terms. Use them as we provide them, without changes; the store badges also follow Google's and Apple's own rules for them. Everything else about SquareKeeper stays ours, and the permission ends when your participation ends.
7. Your content
Your videos, posts and other content stay yours. You give us permission, without payment, to link to, embed, share and quote your public content about SquareKeeper, and to use your name, handle and code to credit you, on our website and in our marketing. When you ask us to stop, we stop using your content in new marketing within 30 days. You promise that you have the rights to everything in your content (for example the music, the footage and the permission of the people in it).
8. Privacy and confidentiality
- To protect our customers, your dashboard shows no business names, personal names or email addresses. Don't try to find out who signed up with your code. If you learn it anyway, keep it to yourself and don't contact them for us.
- We handle your own personal information (your name, email address, payment details and tax details) as our Privacy Policy describes, to run the program, pay you and meet our tax and legal duties. We record when you accept these Partner Terms (the version, the time, and the IP address and browser) so we can show what was agreed.
- The amounts in your deal are confidential between us. This never limits telling your audience that you are paid (section 5) or anything the law requires you to say.
9. Our relationship
- You are an independent contractor. These Partner Terms do not make you our employee, agent, partner in a legal partnership or joint venturer. You decide whether, when and how to make content, you pay your own costs, and you are not entitled to employee benefits.
- You can't make any agreement, promise or statement that binds SquareKeeper.
- You must be at least 18 years old and able to enter this agreement and to receive payments where you live. If you take part for a company, you confirm that you can accept these Partner Terms for it.
- You can't transfer your code or these Partner Terms to anyone else without our written OK. We may transfer them as part of a sale or reorganization of our business.
10. Changes
- We may change these Partner Terms. We will post the new version on this page with a new date and version number, and tell you by email or in your dashboard at least 14 days before a material change takes effect. If you keep sharing your code after it takes effect, you accept the new version; if you don't agree, you can end your participation (section 11). A change never reduces what you already earned.
- We may change the offer for your code, or retire a code, for future sign-ups. When we can, we tell you before we do.
11. Ending
- Either of us can end your participation at any time, for any reason, by email. We may also turn off your code right away if we believe you broke these Partner Terms or the law, or to stop fraud.
- When your participation ends, your code stops working for new sign-ups, and we pay what you earned up to the end under section 4.
- If we end it because you broke these Partner Terms, we don't owe you for the sign-ups connected to the breach, and we may hold the rest of your balance for up to 90 days while we look into it.
- Sections 4 (for amounts owed or overpaid), 7, 8, 9, 12, 13, 14 and 15 continue after the end.
12. Disclaimers and limits of liability
The program and the dashboard are provided "as is". We don't promise any number of sign-ups or any amount of earnings. The dashboard can be delayed or briefly wrong; our records, corrected under section 4, decide what you earned. To the maximum extent permitted by law, SquareKeeper is not liable to you for any indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue, and our total liability to you under these Partner Terms is limited to what you earned under them in the 12 months before the claim. This never limits paying you what you earned.
13. Indemnification
You will defend, indemnify and hold harmless SquareKeeper LLC and its owners and staff against claims, fines and costs (including reasonable attorneys' fees) that come from your content, from how you shared SquareKeeper, or from your breaking these Partner Terms or the law (for example a missing paid disclosure, a spam complaint or a copyright claim).
14. Governing law
These Partner Terms are governed by the laws of the State of California, without regard to conflict-of-law provisions. Any disputes shall be resolved in the state or federal courts located in Los Angeles County, California.
15. Everything else
- These Partner Terms, your written deals and our Privacy Policy are the whole agreement about the program. If you also use SquareKeeper as a customer, our Terms of Service cover that use.
- If a court finds part of these Partner Terms unenforceable, the rest stays in effect. Not enforcing a part is not a waiver of it.
- We provide these Partner Terms in English and Spanish. If the two ever differ, the English version controls.
